These Terms & Conditions ("Terms") govern your access to and use of the Primitive Racing website, online store, products, and services (collectively, the "Services").

The Services are operated by Primitive Enterprises Inc., doing business as Primitive Racing ("Primitive Racing," "Primitive," "we," "us," or "our").

By accessing or using our website, creating an account, placing an order, communicating with us through the Services, or otherwise using the Services, you agree to these Terms. If you do not agree to these Terms, please do not use the Services.

Orders and Order Acceptance

When you place an order with Primitive Racing, you are making an offer to purchase the products included in your order.

Receipt of an electronic, telephone, or other order confirmation does not constitute our final acceptance of an order or confirmation of an offer to sell. We reserve the right to accept, decline, limit, or cancel an order for reasonable business purposes, including product availability, pricing or listing errors, suspected fraud, payment issues, or inability to fulfill an order.

We may request additional information or verification before accepting or fulfilling an order.

Unless otherwise agreed to by Primitive Racing, payment is due at the time an order is placed and your selected payment method may be charged immediately.

Pricing and Website Errors

We make reasonable efforts to ensure that product descriptions, pricing, availability, specifications, photographs, and other information on our website are accurate. However, errors may occasionally occur.

We reserve the right to correct typographical, pricing, product-description, inventory, shipping, or other errors and to cancel or decline orders affected by an error, including after an order has been submitted or payment has been authorized.

If we cancel a paid order because of such an error, we will refund the amount paid for the canceled item or order.

Payment

We accept major credit cards and other payment methods displayed during checkout. In some circumstances, we may also accept checks, wire transfers, or other payment arrangements.

Orders must be paid in full at the time of purchase unless other arrangements have been expressly approved by Primitive Racing.

You represent that you are authorized to use the payment method submitted with your order and that the billing and other information you provide is accurate.

Product Availability, Backorders, and Made-to-Order Products

We generally fulfill orders in the order they are received, but inventory availability and fulfillment times may vary.

If part or all of an order is unavailable, we may contact you regarding estimated availability, substitutions, partial shipment, or other fulfillment options.

Some products are manufactured, assembled, modified, imported, or ordered specifically for a customer's order and may require additional lead time. Estimated lead times are provided as estimates and are not guaranteed delivery dates. Certain made-to-order products may require approximately 6–8 weeks or longer depending on product and supplier availability.

Order Cancellations

If you have questions about product selection, compatibility, fitment, availability, or specifications, we strongly encourage you to contact Primitive Racing before placing your order.

Once an order is submitted, processing begins and we cannot guarantee that it can be stopped or canceled.

Orders canceled after being placed but before shipment are subject to a 5% cancellation fee to offset payment processing, administrative, and order-processing costs.

Custom-made, modified, assembled, or special-order products may not be cancelable once production, modification, assembly, procurement, or other work has begun.

Once an order has shipped, it cannot be canceled and any request to send the product back will be handled under our Return Policy.

Shipping and Delivery

Shipping and delivery dates are estimates unless Primitive Racing expressly agrees otherwise in writing.

Primitive Racing is not responsible for delays caused by carriers, weather, customs, transportation disruptions, incorrect addresses supplied by customers, or other circumstances outside our reasonable control.

Customers are responsible for providing complete and accurate shipping information.

If a package is refused, undeliverable because of customer-provided information, or otherwise returned to Primitive Racing for reasons not caused by Primitive Racing, the customer may be responsible for shipping charges, return shipping charges, carrier fees, and other costs incurred as a result.

International Orders, Customs, Duties, and Taxes

International customers are responsible for determining whether the products they order may lawfully be imported, possessed, installed, or used in their destination country.

Unless expressly stated otherwise at checkout or agreed to by Primitive Racing in writing, shipping charges paid to Primitive Racing do not include import duties, customs charges, brokerage fees, VAT, GST, tariffs, taxes, or other charges imposed by the destination country or carrier in connection with importation.

The recipient is responsible for these charges. Customs, tax, or brokerage invoices may be issued before or after delivery.

Primitive Racing is not responsible for delays caused by customs authorities or for a customer's failure or refusal to pay import-related charges.

Returns

We want our customers to be satisfied with their purchases. If you believe a product is not right for you, please contact Primitive Racing before returning it.

Eligible returns must be requested within 30 calendar days of delivery and must be authorized in writing by Primitive Racing before being shipped back.

Unauthorized returns may be refused, returned to the sender, or subject to additional charges.

Unless otherwise stated below, eligible returns are subject to a 25% restocking fee.

Returned products must be complete, unused, uninstalled, undamaged, and in new and resalable condition. Products supplied in retail packaging must include the original packaging, accessories, documentation, hardware, and other included materials.

Original shipping and handling charges are non-refundable. Customers are responsible for the cost of shipping ordinary returns to Primitive Racing.

Customers are also responsible for properly packaging return shipments. Primitive Racing is not responsible for loss or damage occurring during return transportation. Returns received damaged, incomplete, missing components or packaging, or in a condition different from when sold may be refused or may be subject to additional deductions reflecting the diminished condition or value of the product.

Nothing in this section is intended to require a customer to pay a restocking fee or return shipping expense when Primitive Racing shipped an incorrect product or when a product arrives damaged or defective and Primitive Racing determines that the issue is our responsibility. Please contact us promptly if an order arrives incorrect, damaged, or defective so that we can determine the appropriate resolution.

Non-Returnable, Custom, and Special-Order Products

The following products are not eligible for ordinary returns:

• Electrical or electronic products;
• Custom-made products;
• Special-order products obtained specifically for a customer's order;
• Products modified at the customer's request;
• Products assembled or configured to the customer's specifications;
• Products that have been installed, used, damaged, altered, or modified after delivery; and
• Other products identified as non-returnable on the applicable product page or before purchase.

Examples of custom or modified products include, without limitation, fully assembled strut or suspension packages and skid plates ordered with modifications such as header-spacer clearance, oil-access holes, or light-bar provisions.

These restrictions do not eliminate any applicable warranty rights relating to a qualifying product defect.

Wheels, Tires, and Vehicle Fitment

Vehicle fitment can be affected by model year, trim level, brake configuration, suspension components, alignment settings, tire dimensions, vehicle modifications, manufacturing tolerances, and other factors.

Customers are responsible for confirming vehicle and wheel fitment before mounting tires or installing wheels. If you are uncertain whether a wheel will fit your particular vehicle or configuration, please contact Primitive Racing before mounting tires or installing the wheels.

Wheels that have had tires mounted, have been installed on a vehicle, or show evidence of installation or use are not eligible for ordinary return.

Fitment information and recommendations provided by Primitive Racing are based on the information reasonably available to us and the vehicle configuration disclosed by the customer. Changes from the original vehicle configuration may affect fitment.

Nothing in this section limits applicable rights concerning a defective product or an incorrect product supplied by Primitive Racing.

Vehicle Modifications, Installation, and Safety

Automotive modifications may alter a vehicle's handling, braking, ground clearance, suspension geometry, safety characteristics, emissions compliance, or other operating characteristics.

Suspension modifications in particular may change vehicle handling. Extreme care should be taken when operating a modified vehicle. Always use appropriate restraints and operate the vehicle safely, recognizing that reduced speeds or different driving techniques may be necessary.

Improper installation, incompatible combinations of modifications, improper setup, misuse, competition use, accidents, or operation beyond the intended purpose of a product can result in property damage, loss of vehicle control, serious injury, or death.

Products should be installed by a qualified person familiar with the vehicle and product involved. Customers are responsible for reviewing applicable product instructions and vehicle manufacturer information before installation and use.

Product Legality and Competition/Off-Highway Products

Some products sold by Primitive Racing are designed or intended for competition, racing, off-highway, or other specialized uses and may not be legal for use on public roads in all jurisdictions.

Laws governing vehicle modifications, lighting, emissions equipment, safety equipment, suspension modifications, and other automotive products vary by jurisdiction.

It is the vehicle owner's responsibility to determine whether a particular product or modification is legal and appropriate for the intended use in the jurisdiction where the vehicle will be operated.

A product's availability for purchase from Primitive Racing does not constitute a representation that the product is legal for every application or jurisdiction.

Primitive Racing Limited Lifetime Warranty

Primitive Racing-branded products are covered by our Limited Lifetime Warranty and are warranted to the original retail purchaser to be free from defects in materials and workmanship under normal use for their intended purpose.

Proof of purchase may be required for warranty service.

If Primitive Racing determines that a Primitive Racing-branded product contains a covered defect, our obligation under this warranty is limited, at our option and to the extent permitted by applicable law, to repair or replacement of the defective product.

This warranty does not cover damage or failure resulting from improper installation, improper use, accident, collision, neglect, abuse, alteration, modification, competition or racing use where the product was not designed for such use, or use inconsistent with the product's intended purpose or instructions.

The warranty does not cover ordinary wear, cosmetic deterioration, scratches, dents, corrosion, finishes, coatings, appearance, or other cosmetic conditions that do not impair the product's intended function, unless otherwise expressly stated.

This warranty applies only to the original retail purchaser and is not transferable unless otherwise required by applicable law.

Third-Party Products and Manufacturer Warranties

Products sold by Primitive Racing but manufactured or branded by another company are generally subject to the warranty, if any, provided by that manufacturer.

Primitive Racing does not independently extend or enlarge a third-party manufacturer's warranty unless expressly stated otherwise.

We may assist customers with manufacturer warranty claims when reasonably practical, but warranty eligibility and remedies for third-party products may ultimately be determined by the manufacturer under its warranty terms.

Damage or failure caused by improper installation, misuse, incompatible modifications, accidents, or other circumstances excluded by the applicable manufacturer's warranty may not be covered.

Refund Processing

Approved refunds are generally processed within 15 business days after Primitive Racing receives and inspects the returned merchandise.

After Primitive Racing issues a refund, additional processing time may be required by your bank, credit-card issuer, or payment provider before the credit appears on your account. Processing times are controlled by those institutions and may vary.

SMS/Text Messaging

If you opt in to receive text messages from Primitive Racing, we may send customer service messages, order and shipping updates, product information, cart reminders, and promotional or marketing messages.

Message frequency varies. Message and data rates may apply. Consent to receive marketing text messages is not a condition of purchase.

You may opt out of SMS messages at any time by replying STOP. Reply HELP for help. After opting out, you may reply START to opt back in.

Your use of our SMS services is also subject to our Privacy Policy.

Intellectual Property

The website and its contents, including text, graphics, photographs, product information, logos, designs, icons, software, and other materials, are owned by or licensed to Primitive Enterprises Inc., Primitive Racing, Shopify, our suppliers, or other applicable rights holders and are protected by applicable intellectual-property laws.

Primitive Racing names, logos, branding, website content, and original materials may not be copied, reproduced, modified, distributed, republished, displayed, or commercially exploited without our prior written permission except as permitted by law.

Third-party trademarks, product names, logos, and other intellectual property appearing on the Services remain the property of their respective owners. Their appearance on our website does not necessarily indicate affiliation with or endorsement by the applicable rights holder.

Limitation of Liability

To the fullest extent permitted by applicable law, Primitive Enterprises Inc., Primitive Racing, and their officers, employees, agents, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the purchase, installation, use, misuse, or inability to use a product or the Services.

To the fullest extent permitted by applicable law, Primitive Racing's aggregate liability arising from a particular product or transaction will not exceed the amount actually paid to Primitive Racing for the product or transaction giving rise to the claim.

Some jurisdictions do not allow certain limitations or exclusions of liability, so some of these limitations may not apply to you. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Assumption of Risk

Automotive repair, modification, motorsports, competition, and operation of modified vehicles involve inherent risks.

By purchasing, installing, or using automotive modification or competition products, you acknowledge the risks associated with the installation and intended use of those products and accept responsibility for selecting products appropriate for your vehicle and intended use.

Nothing in these Terms is intended to waive rights or remedies that cannot legally be waived.

Governing Law and Venue

These Terms and any dispute arising from or relating to the Services or a purchase from Primitive Racing will be governed by the laws of the State of Oregon, without regard to conflict-of-law principles, except where applicable law requires otherwise.

To the extent permitted by applicable law, any legal proceeding arising from or relating to these Terms or a transaction with Primitive Racing shall be brought in a court of competent jurisdiction located in Washington County, Oregon, or the applicable federal court serving that jurisdiction.

Nothing in this provision deprives a consumer of protections or rights that cannot be waived under applicable law.

Changes to These Terms

We may update these Terms from time to time to reflect changes to our products, Services, business practices, or legal requirements.

The updated Terms will be posted on our website with a revised "Last updated" date. Changes apply prospectively unless otherwise required by applicable law.
